The Vibrancy Hub Coaching Agreement
This agreement is made and entered into by an employee or subcontractor of The Vibrancy Hub (the “Coach”) and yourself (the “Coachee”) hereinafter referred to as the “Parties”.
The Coach shall provide the services to the Coachee in accordance with this Agreement with reasonable care and skill and to the standard expected for a coach delivering coaching services remotely.
The Coach shall provide one to one coaching services to the Coachee for a period agreed up front “the Duration”. The coaching shall include coaching, mentoring and support services which are designed to support the Coachee in achieving growth within themselves and work towards a more fulfilled, sustainable and impactful career, “the Programme”.
In consideration of the agreements contained herein, the Parties hereto agree as follows:
Coachee Obligations
The Coachee accepts that as part of the Coachee’s participation in the Programme they may be invited to review and make decisions concerning their personal and home life, business and career, finances, lifestyle, education and development, and health and wellness, and that any such reviews, subsequent decisions, implementation and action will be the sole responsibility of the Coachee. The Coachee will be required to complete additional work independently outside of the Programme and put into action the Programme teachings.
The Coachee accepts and understands that they are solely responsible for making decisions and taking appropriate action as a result of any matters reviewed or discussed during the Programme and that the Coach shall not be liable for the Coachee’s failure to make decisions, put into action plans or strategy, or for any results whether direct or indirect arising out of the Coachee’s participation in the Programme. The Coachee acknowledges that it is their responsibility to attend the coaching sessions as agreed and during such sessions to participate fully, and communicate openly and honestly. Further, the Coachee acknowledges that they will be required to take specific action and implement advice given throughout the Programme and such action will be their responsibility.
The Coachee understands and accepts that engagement in the Programme, and acceptance of the services, is not a substitute for counselling or other therapy services. If the Coachee is currently undergoing medical or other professional help concerning their mental health then the Coachee should inform their practitioner of the existence of this Agreement and the extent of the services being provided and inform the Coach if appropriate and relevant. Further, the Coachee is aware that the Coach cannot resolve medical issues and is therefore not a replacement for Coachee’s therapist or physician. If the Coachee is presently under any form of psychiatric care or specialised medical supervision, the Coachee shall inform the Coach prior to working together.
The coaching services delivered under this Agreement are not therapy or mental health services. Should the Coach deem that the Coachee would benefit from input from a third party medical professional, they may pause the delivery of the services whilst the Coachee seeks alternative medical support.
The Coachee will be provided with the Coach’s calendar and accepts that it is their responsibility to ensure that all of the coaching sessions are booked within the Duration.
The Coachee understands that should they need to postpone a coaching session they must provide 48 hours’ notice. Failure to provide adequate notice shall mean that the session is forfeited and deemed taken. The Coachee also accepts that if the Coachee is more than 10 minutes late for a coaching session the Coach has complete discretion as to whether there is adequate time remaining for the session to take place and if not, the session may be forfeited.
In the event the Coachee has any concerns as to the Coach’s delivery of the services or the Coachee’s participation in the Programme in any way, the Coachee agrees to notify the Coach of such concerns by email as soon as possible. The Coach agrees that upon receipt of notification of such concerns that the Coach will use all reasonable efforts to work with the Coachee to resolve the Coachee’s concerns.
The Coachee confirms that all information provided to the Coach, including information which is personal and/or confidential, is true, correct, up to date and complete.
The Coachee agrees and understands that participation in the Programme does not guarantee results or success. As part of the Programme the Coachee will have access to information, resources and support all designed to benefit the Coachee but it is the Coachee’s responsibility to take action and to implement the information received, or methodologies shared.
The Coachee accepts and understands that any materials and information provided during the Programme and delivery of the services is for general information purposes only and does not constitute medical, legal or financial advice.
INTELLECTUAL PROPERTY:
The Coach’s copyrighted and original materials shall be provided to the Coachee for his/her individual use only and a single-user licence. The Coachee shall not be authorised to use any of the Coach’s intellectual property for the Coachee’s business purposes. The Coachee shall not be authorised to share, copy, distribute, or otherwise disseminate any materials received from the Coach electronically or otherwise without the prior written consent of the Coach. All intellectual property, including the Coach’s copyrighted course materials, shall remain the sole property of the Coach. No licence to sell or distribute the Coach’s materials is granted or implied.
LIMITATION OF LIABILITY:
By using the Coach’s services and participating in the Programme, the Coachee releases the Coach from any and all damages that may result from such participation. The Coachee accepts any and all risks, foreseeable or non-foreseeable, arising from such participation. The Coachee agrees that the Coach will not be held liable for any damages of any kind resulting or arising from including but not limited to; direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of the Coach’s services or participation in the Programme. The Coachee agrees that use of the Coach’s services is at the Coachee’s own risk.
CONFIDENTIALITY:
The term "Confidential Information" shall mean information which is not generally known to the public relating to the Coachee’s business or personal affairs. The Coach agrees that beyond The Vibrancy Hub they will not disclose, reveal or make use of any Confidential Information learned of through its transactions with the Coachee, during discussion with the Coachee, the Coachee’s participation in the Programme with the Coach or otherwise, without the written consent of the Coachee. The Coach shall keep the Confidential Information of the Coachee in the strictest confidence and shall use its best efforts to safeguard the Coachee’s Confidential Information and to protect it against disclosure, misuse, espionage, loss and theft.
NON-DISPARAGEMENT:
In the event of a dispute between the Parties, the parties agree that they neither will engage in any conduct or communications, public or private, designed to disparage the other.
GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of England and Wales and the Parties submit to the exclusive jurisdiction of the courts of England and Wales.
INDEMNIFICATION:
The Coachee shall defend, indemnify, and hold harmless the Coach from and against any and all liabilities and expense whatsoever including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, legal fees and disbursements which any of them may incur or become obligated to pay arising out of or resulting from this Agreement excluding, however, any such expenses and liabilities which may result from a breach of this Agreement or sole negligence or wilful misconduct by the Coach. The Coachee shall defend the Coach in any legal actions, regulatory actions, or the like arising from or related to this Agreement.
OTHER TERMS:
Upon execution of this Agreement the Parties agree that any individual, associate, and/or assign shall be bound by the terms of this Agreement. A facsimile, electronic, or e-mailed executed copy of this Agreement, with a written or electronic signature, shall constitute a legal and binding instrument with the same effect as an originally signed copy. The terms of this Agreement shall be binding for any further goods/services supplied by Coach to Coachee.
